We reserve the right at any time to change, add, reduce, replace, adjust and/or modify the Terms and Conditions (either in part or in whole) without prior notification. We will include any changes, additions, reductions, replacements, adjustments and/or modifications made from time to time to the Terms and Conditions on our website, namely https://diwanmidas-capital-private.com and/or through this application. Decisions taken based on these Terms and Conditions are absolute and cannot be contested.

These Terms and Conditions apply to you and to transactions or use of services by or through your account wherever you are, both in the territory of the Republic of India and in other countries.

DEFINITION AND INTERPRETATION

In these Terms and Conditions, unless expressly stated otherwise, the following expressions have the following meanings:

1. "You" is every prospective Lender, prospective Loan Recipient, Loan Recipient, Lender or user who uses the Site Services and/or Pinjam Pintar Application.

2. "Application" is a mobile application which is currently known by the brand, name, logo and/or sign known as "Pinjam Pintar" or other brands, names, logos and/or signs, which are operated and owned by us.

3. "Account" or "Your Account" means every account (in the form of a virtual account or other form) that We create for You on the Application that You can use to access, use and/or enjoy the Services as well as to record, monitor and/or view all transactions and/or activities that you carry out through or using the Application including the balance in your account;

4. "Data" means any data, information and/or information in any form which from time to time (including when you download the Application) you submit to Us/Service Provider or which you include or convey in, on or via the Application including but not limited to (a) name, email, cell phone number, nationality, type of identity, identity number, date of birth, place of birth, gender, address according to identity card (address, sub-district, sub-district, district/city) , postal code, religion, marital status, employment, period of identity, correspondence address (address, sub-district, sub-district, district/city), NPWP, biological mother's maiden name, family information (father's name and partner's name), and emergency contact ( including family name, address, telephone/cellphone number) and (b) data generated or obtained from the use of the Service, Application and/or Account.

5. "FAQ" means Frequently Asked Questions on the Pinjam Pintar Site.

7. "Service" means every service, program, product, feature, system, facility and/or service provided and/or offered in or through the Application.

9. “Customer” is an individual registered with the Pinjam Pintar service.

10. "Loan" loan facility through the Pinjam Pintar application in accordance with the applicable terms and conditions.

11. "Lender" is a company, institution or individual who places funds in a Pinjam Pintar account to be distributed as a loan to the Loan Recipient through the Pinjam Pintar Site and/or application or who has a collaboration with Pinjam Pintar to provide loan funds to you.

12. "Loan Recipient" means an individual who is an Indian citizen.

13. "Service Provider" is one or more parties appointed by Pinjam Pintar or who have collaboration with Pinjam Pintar for the provision, operation and/or management of the Application and/or Services.

14. "Force Majeure Event" is an event when a condition or event beyond the reasonable control of a party affects the general public in the party's country or region, and which results in the party being unable to comply or carry out its obligations in a timely manner under these Terms and Conditions . Such circumstances or events include industrial action or labor disputes, civil unrest, war or threat of war, criminal or terrorist acts, governmental acts or regulations, telecommunications or utility failures, power outages, fires, explosions, natural physical disasters, epidemics, quarantine restrictions, and non-functioning of public transportation.

15. "PIN or Security Code" means a series of numbers, codes, letters and/or secret symbols (or a combination of a series of numbers, codes, letters and/or secret symbols) which we will inform you for security of access and/or use Account;

16. "System" means all systems, devices (both hardware and software), networks, servers, connections (including internet connections), connectivity, infrastructure and other devices, facilities and infrastructure that are built, created, managed and/or operated for use and/or providing Applications and Services.

17. "Terms and Conditions" means these Terms and Conditions and any changes, additions, replacements, adjustments and/or modifications made from time to time.

18. "Site" means the website https://diwanmidas-capital-private.com, including all domains and sub-domains operated and owned by us.

19. Pinjam Pintar or "We" means DIWANMIDAS CAPITAL PRIVATE LIMITED which was established under the laws of the Republic of India as a service provider.

GENERAL TERMS AND CONDITIONS

1. All instructions you carry out will come from the mobile application or online.

2. You will be asked to carry out authorization instructions using different types of security information (e.g. PIN, user name, password) if necessary.

3. After carrying out authorization, Pinjam Pintar will execute instructions according to your orders. You are required to ensure that you do not reveal your security information to other parties.

4. Pinjam Pintar ensures that the confidentiality and security of the personal information you provide is well maintained. We will use your data in accordance with applicable provisions.

5. You can ask questions or provide input to us via the E-mail Service.

DATA USE AND MANAGEMENT

1. You hereby acknowledge, consent and agree that all your data that you submit to the Lender and Us, either directly or indirectly, through the use of the Pinjam Pintar Application, is recorded in the Lender and Our system. Thus, you hereby acknowledge and agree, give permission and authorize that we have the right to (either alone or by appointing or collaborating with one or more other parties) fully collect, use, manage, analyze, process, store, access, inform, notify, share and/or convey some or all of the Data to any Party (including but not limited to Service Providers, Lenders, Our Affiliates or other Parties who have cooperation or agreements with Us, Regulatory Bodies, the Indian Joint Fintech Funding Association and/ or similar associations recognized by the Regulatory Body), as well as to take any action on Data, including but not limited to the purposes of: (a) providing, providing and/or improving Services, (b) using the Application, (c) registering your participation as users or customers of the Application or Services and services provided in or through the Application, (d) administering, processing and/or managing Accounts (including, among other things, for the purposes of verifying, validating and/or managing Transactions), (e) research regarding user demographic data Application, (f) developing and/or updating the Application, (g) sending information that We deem useful to You including, among other things, information about the Services and/or Application as well as information regarding System updates (or any part thereof), and/or (h ) development, improvement, renewal, replacement and/or provision of Services, Systems and/or Applications.

2. You hereby declare, guarantee and acknowledge expressly and irrevocably that the submission and submission of your data to the Lender and Us as referred to in point 1 above does not violate your rights or the rights of any person or party including but not limited to the rights Intellectual property belongs to you or to any person or party related to your personality.

3. You promise not to take any action that could cause the Lender and Us to be unable to provide the above information. 4. The provisions of points 1, 2 and 3 above remain valid and binding on You, the Lender and Us even though the Services, Application, Account and/or Terms and Conditions have ended.

LIABILITY REPRESENTATIONS AND WARRANTIES

1. You may only access or use the Application, Services and/or System (a) in accordance with these Terms and Conditions, (b) for lawful purposes, and (c) not used for fraudulent purposes or acts, violating the law, criminal or other actions, activities, actions or purposes that violate the rights or interests of any party. You are fully responsible for checking and ensuring that you have downloaded the correct software for your device. We are not responsible if you do not have a device that is compatible with the System or Application or if you have downloaded the wrong version of the software for your device.

2. You are prohibited from using the Services, Application and/or Account or carrying out Transactions: (a) for purposes, activities, activities or actions that violate the law or violate the rights or interests (including Intellectual Property Rights or privacy rights of any party); (b) which contains material or elements that are harmful or detrimental to any party; (c) that contains software viruses, worms, Trojan horses or other harmful computer code, files, scripts, agents or programs; and (d) that interferes with the integrity or performance of the System and/or Application.

3. You are prohibited from carrying out any actions, including in or through the Application or Account, and are prohibited from carrying out transactions that could damage or disrupt the reputation of Us or the Service Provider.

4. You hereby expressly agree and represent and warrant that:

a. You are an individual who is legally competent to take legal action based on the laws of the Republic of India, including to bind yourself to these Terms and Conditions. If you do not fulfill these requirements, we have the right at any time to disable or terminate your use of the Account, Services and/or Application, either temporarily or permanently;

b. You have the right, authority and capacity to use the Services and Account and to implement all Terms and Conditions;

c. If you register or download the Application on behalf of a legal entity, civil partnership or other party, you hereby represent and warrant that you have the legal capacity, right and authority to act for and on behalf of the legal entity, civil partnership or other party including but not limited to binding the legal entity, civil partnership or other party to comply with all the contents of the Terms and Conditions;

d. You have read the entire contents of the Terms and Conditions and have understood and comprehended the entire contents of these Terms and Conditions and therefore bind yourself voluntarily to comply with and implement all of these Terms and Conditions;

e. You represent and guarantee that the funds used in the transaction are not funds originating from criminal acts that are prohibited under the applicable laws and regulations in the Republic of India, opening this account is not intended and/or intended as an effort to commit the crime of money laundering in accordance with the provisions of the laws and regulations in force in the Republic of India, transactions are not carried out for the purpose of deceiving, obscuring or avoiding reporting to the Financial Transaction Reports and Analysis Center (PPATK) based on the provisions of the laws and regulations in force in the Republic of India, and you are fully responsible and release us from all demands, claims or compensation in any form, if you commit a money laundering crime based on the provisions of the laws and regulations in force in the Republic of India;

f. All data, whether you have conveyed or included it or will convey it or include it, either directly or indirectly in the future or from time to time, is true, complete, accurate, current and not misleading and does not violate rights (including but not limited to the rights of intellectual property) or the interests of any party. Your submission of Data to Us or on or through the Application or System does not conflict with applicable law and does not violate deeds, agreements, contracts, arrangements or other documents to which you are a party or to which you or your assets are bound;

g. The Services, Application or Account will be used for your own interests or for the interests of a legal entity, business entity, civil partnership or other party that you legally represent as referred to in letter c above;

h. You will not give any rights, authority and/or power in any form and under any conditions to another person or party to use your Data, Account and/or PIN, and for any reason and under any conditions you will not and are prohibited from transferring your Account to any person or party; And

i. In or while using the Services, Application and/or Account, you agree to comply with and implement all applicable laws and regulations including laws and regulations in your home country or in the country or city where you are located. For this reason, you are required from time to time to read the Terms and Conditions that we provide on the website above or through the Application. These Terms and Conditions apply to you and to transactions or use of services by or through your account wherever you are, both in the territory of the Republic of India and in other countries.

INTELLECTUAL PROPERTY RELATED MATTERS

1. The intellectual property rights of this Site or Application, including, but not limited to, copyright, patent rights, including trademarks for and in the name of Pinjam Pintar are fully owned by and are permanent assets of Pinjam Pintar.

2. You are permitted to view and copy-print on paper the contents provided on the Site and Application, however:

a. all such copies are the intellectual property rights of Pinjam Pintar and third parties that we license; And

b. You do not alter in any way the paper copies of the printed materials, including the removal of any copyright or other proprietary notices contained in the Site and/or Application.

3. You agree not to use any part of this Site and Application to:

a. insert or intentionally or unintentionally transmit or distribute viruses, worms, trojan horses, time bombs, trap doors or other computer code, files, or programs or make repeated requests designed to interrupt, damage or limit the functionality of software, or hardware computers, or telecommunications equipment, or to reduce the quality of, interfere with the display of, or damage the functionality of this Site and Application;

b. upload, post, send e-mail or otherwise receive, or attach links to any content that facilitates data hacking;

c. hack anything that is part of this Site and Application;

d. upload, e-mail, or post links to any content that violates the intellectual property rights of any third party;

e. circumvent or attempt to circumvent, any security measures of the Site and Application;

f. permit any third party to do any of the above;

g. if you use content from this Site and Application but fail to comply with these requirements, then your right to use this Site and Application will immediately be lost;

h. no links from other sites on this Site and Application may enter without our prior written permission. You have no right to name, modify, or redistribute the content of this Site and Application without our permission.

CHANGES TO TERMS AND CONDITIONS

1. Pinjam Pintar reserves the right to change the General Terms and Conditions at its own discretion from time to time. Any changes to these Terms and Conditions will take effect immediately after Pinjam Pintar includes them on the Site and/or Application.

2. You understand and agree that when you continue to use the Services through the Site and/or Application after changes to these Terms and Conditions are made, you are subject to and bound by the new Terms and Conditions.

SEPARATION

If any term or condition in these Terms and Conditions in whole or in part is declared to any extent to be invalid or unenforceable based on law or legal regulations, that term or condition or part to that extent is deemed not to be part of the Terms and Conditions This and the applicability of any other terms and conditions in the Terms and Conditions will not be affected. Pinjam Pintar's failure to exercise or enforce any right or provision of these Terms and Conditions does not constitute a waiver of that right or provision in that or any other situation.

LIMITATION OF LIABILITY

1. Pinjam Pintar or its employees are not responsible and have no right to provide compensation and if there is a violation of these Terms and Conditions, Loan Terms and Conditions, or other agreements with Pinjam Pintar that will regulate your use of the Service, which is caused by you.

2. You need to know that the security of messages sent via an internet connection cannot be guaranteed and may be delayed, lost or changed. We are not responsible for messages that are lost, altered by third parties, or suppressed and we are not materially responsible to you or anyone else for damage or anything else in connection with messages sent by you to us or us to you via an internet connection.

FORCE CIRCUMSTANCES EVENT

Neither party shall be responsible for any failure to carry out its obligations under these Terms and Conditions if such failure is caused by a Force Majeure Event. Always provided that if possible, the affected party will continue to carry out the obligation as soon as the Force Majeure Event that caused the failure ceases or subsides.

COMPENSATION

You agree to release, discharge and indemnify Pinjam Pintar, its affiliates, shareholders, directors, commissioners, employees, subcontractors, suppliers, agents from and for all forms of demands, lawsuits, claims, losses, damages, including legal consultant fees, caused by by your violation of these Terms and Conditions and other provisions stipulated by Pinjam Pintar.

TERMINATION

You agree that in the event of a violation by you of the provisions of these Terms and Conditions or of applicable law, Pinjam Pintar can unilaterally and without prior notification delete your account on the Site and Application, limit your access to the Site and Application, terminate Service to you. You agree that all losses, whether material or immaterial, arising from deletion of your account and/or restriction of access as referred to above are entirely your responsibility.

APPLICABLE LAW AND DISPUTE RESOLUTION

These Terms and Conditions and any other non-contractual obligations arising from or in connection with them are governed by the laws of the Republic of India.

You agree that all legal actions or disputes that may arise in connection with the use of the Site and Application will be resolved and decided finally at the Central Jakarta District Court.

Pinjam Pintar Privacy Policy

Pinjam Pintar upholds your privacy and protects your personal data, hereinafter referred to as "Your Content". Pinjam Pintar is committed not to sell your content to any unauthorized party.

I. The device you use to download, use, top up and apply for a loan via the Pinjam Pintar Application is your personal device that you use for your daily needs. You voluntarily and are fully responsible for all material and information that you send, provide, upload, provide or display on the Pinjam Pintar Application ("Your Content").

II. By using the Pinjam Pintar Application, you give Pinjam Pintar the right to collect, store, copy, process, disclose information, access, transfer, review, disclose and use your Content for other purposes and/or related to the use of the Pinjam Pintar Application, continuously, in accordance with applicable law.

III. By using the Pinjam Pintar Application, you voluntarily agree and grant Pinjam Pintar the right to process your Loan application using Your Content obtained through methods including, but not limited to:

b. All documents and information are uploaded and collected for the verification process.

c. Information about your place of business, place of work and place of residence based on GPS (Global Positioning System) technology.

d. Information about your device usage activities.

e. Information obtained from third parties and/or other relevant sources about you, in accordance with applicable law, can be used by Pinjam Pintar to provide information required by Pinjam Pintar regarding the Loan facilities provided.

f. Information and data regarding the Loan Recipient and his/her accounts, and/or credit card (if any), and/or other information deemed important by Pinjam Pintar at:

i. Representative offices and branches, and/or companies or associated companies related to the Loan Recipient, in any jurisdiction;

ii. Government or government agency or authority body;

iii. Any prospective transfer of the rights of the Loan Recipient and/or parties who have or may have a contractual relationship with the Loan Recipient in relation to the Loan facility;

iv. Credit bureaus, including members of such credit bureaus;

v. Any third party, husband, wife, family, friend, superior, subordinate, co-worker, service provider, agent, and/or business partner (including, without limitation, credit reference or evaluation agency) wherever the situation may occur; And

vi. To parties who disclose information who are permitted by law to disclose information.

IV. You understand that you are not obliged to provide access to the Data on your device. However, by providing access to this data, you will increase your chances of getting a loan product from Pinjam Pintar. This data supports your Content including, but not limited to:

a. Identity verification

b. Mitigate the risk of identity fraud

c. Credit risk assessment for the Loan underwriting process

d. Analytical/quantitative statistics

e. Carrying out regulatory controls

f. Provide information and answer questions

g. Prevent fraud, money laundering and other criminal activities.

V. The use of your Content collected through the Pinjam Pintar Application is intended for several accountable purposes:

a. Verifying and authenticating your identity for fraud prevention purposes.

b. Assess your credit history, test your creditworthiness, reputation and savings and loan capabilities.

c. Confirm your work.

d. Manage the accuracy and verify information about you, in accordance with Pinjam Pintar's sole and absolute discretion if deemed necessary.

e. Formulate statistical data about you through your browsing actions and device usage patterns.

f. Contact parties when, for example, the boss where you work, husband/wife, family, friends, whom you have proposed to confirm about yourself.

g. Make statistical analysis and develop and improve the Pinjam Pintar statistical model to estimate loan risk.

h. Identifies you when you contact Pinjam Pintar and/or visit the Pinjam Pintar Application.

i. Identify Pinjam Pintar products or Pinjam Pintar partners that are of interest to you.

j. Prevent and detect fraud.

k. Contact you regarding your request.

l. Updating statistical models and the Pinjam Pintar Application to meet future user needs.

m. Ensure that the content on the Pinjam Pintar Application is presented in the most effective way for you.

n. Allows you to participate in various Service features offered by Pinjam Pintar.

o. Evaluate the marketing effectiveness of the Pinjam Pintar Application, for periodic checks and marketing research.

p. Notify you about changes to the Service.

q. Allow banks, financial bodies and/or authorized third parties to carry out limited checks on your status in the Pinjam Pintar database or Service.

r. Ultimately for Pinjam Pintar business purposes in general, namely processing loan transactions, making decisions and providing loan facilities that are suitable for you.

VI. You have the right to withdraw Your Content at any time. If you withdraw your content from the Pinjam Pintar Application, all the rights you have granted to Pinjam Pintar as referred to above, will still apply.

VII. Pinjam Pintar will not sell your data directly or indirectly to unauthorized third parties through the loan process to Pinjam Pintar.

VIII. Pinjam Pintar can make modifications to your data stored in the database at any time. This includes, but is not limited to updating your Content information, Loan application data, and additional documents related to your application data.

IX. Pinjam Pintar agrees, keeps confidential, maintains and respects the privacy of your Content. Pinjam Pintar has never and will never sell your content to any unauthorized party. However, provided that the above does not apply if:

a. There is a legal acknowledgment by such party of ownership of Your Content prior to disclosure.

b. Your content has become public knowledge and at that time there is no known violation of applicable law.

c. Your content becomes public through no fault of the party;

d. Your content is obtained lawfully by that party without confidentiality restrictions from other sources.

e. Your content is required to be disclosed by court order and/or by applicable Law.

f. Your content is disclosed in the course of any litigation.

X. Your content is stored securely. Pinjam Pintar gives you (or you have chosen) a password that makes it easier for you to access certain parts of the Pinjam Pintar Application, and you are responsible for enforcing this password as strictly confidential and not sharing the password with unauthorized parties.

XI. Sending information via the internet is not completely secure. Although Pinjam Pintar has done its best to protect your Content, Pinjam Pintar cannot guarantee the security of your Content sent via your internet connection. Any shipping is your responsibility. When Pinjam Pintar receives your information, Pinjam Pintar will use strict procedures and security features in an effort to prevent irresponsible access.

XII. Pinjam Pintar's security system has met/exceeded industry standards and Pinjam Pintar always monitors technological developments to ensure that the Pinjam Pintar system develops as required. Pinjam Pintar also tests the system periodically to ensure Pinjam Pintar's security mechanisms are always up to date. Pinjam Pintar complies with data privacy protection laws in India and fully complies and provides the greatest respect.

XIII. You understand and agree that Pinjam Pintar has the right, but is not obliged, at its sole discretion, to review and/or delete (without notice) all of your Content including, but not limited to, your Content which in Pinjam Pintar's discretion is classified as a violation of the general Terms and Conditions, contrary to applicable law, and/or may violate or endanger the rights and security of other users.

XIV. Your account deletion request can only be processed and followed up if you have fully paid off your loan and/or no longer have active loans at Pinjam Pintar. In the event that you still have an active loan at Pinjam Pintar, Pinjam Pintar will continue to store data related to your account until all your active loans have been paid in full. The data stored includes data that you include when applying for a loan, including your account number, mobile phone number, device location information, personal information, emergency contact information, employment information, identity authentication information (document information and facial biometric data), bank account information, coupon data, loan data and/or payment information, and other related data/information. Pinjam Pintar strives to safeguard and secure the stored data in accordance with appropriate and relevant data security practices. Users retain the right to access and request changes to their personal data in accordance with applicable law.

XV. In the case of deleting an account, the user is permitted to delete the account via the registered mobile number in accordance with the procedures set out in the Pinjam Pintar application. However, please note that the same cellphone number can only delete an account 3 (three) times. If the User has exceeded the account deletion limit 3 (three) times, the user will not be able to request deletion of another account registered with the same mobile number. After deleting your account successfully, you cannot re-register for the next 15 days. Users are deemed to have read, understood and agreed to the clauses in this Privacy Policy, including the applicable account deletion limitations, therefore, Users are required to consider carefully before deleting their accounts. Users can contact our CS team for further information and special considerations.

XVI. Pinjam Pintar reserves the right to change or delete this clause at any time without prior notification, and such changes will take effect immediately after they are implemented and informed to users through notification on the application and/or website or through other means deemed appropriate.
